Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Basis (the “Service”), operated by VisionCore LLC, a limited liability company organized under the laws of New York (“VisionCore,” “we,” or “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have full legal authority to enter into a binding agreement on behalf of yourself or the organization you represent. You represent that the information you provide at registration is accurate and that you will keep it current.

2. Your Account

You are responsible for safeguarding your login credentials and for all activity that occurs under your account, including activity by team members you invite. Notify us immediately at visioncorehq@gmail.com if you suspect unauthorized access. We reserve the right to require a password reset or suspend an account we believe has been compromised.

3. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use automated tools to scrape, crawl, or stress-test the Service without our written consent.
• Use owner-contact data, skip-trace results, or any other personal information obtained through the Service for unlawful purposes, harassment, discrimination, or in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, GDPR, CCPA/CPRA, or any applicable law.
• Use any data obtained through the Service as a factor in determining a person's eligibility for credit, insurance, employment, or housing/tenancy, or for any other purpose regulated by the Fair Credit Reporting Act (FCRA) - Basis is not a consumer reporting agency (see Section 4).
• Resell, sublicense, or redistribute the Service or its data outputs without our written authorization.
• Attempt to access another user's data or workspace without authorization.
• Interfere with the security, integrity, or availability of the Service.

You must honor all consumer opt-out requests and Do-Not-Call registrations before contacting any individual whose information was retrieved through the Service.

4. Third-Party Data & Enrichment

Basis retrieves property valuations, comparable sales, rental estimates, ownership records, deed history, tax records, skip-trace results, photos, and other enrichment data from third-party providers including RentCast, BatchData, HasData (Zillow & Redfin), Mapbox, Google, and others. This data is provided “as is” and may be incomplete, outdated, or inaccurate. You are solely responsible for independently verifying any information before making a financial, legal, or business decision based on it. VisionCore makes no representation as to the accuracy, completeness, or fitness for purpose of third-party data.

Paid enrichment lookups (analyzer runs, BatchData skip-trace, Deal Finder searches, comp & market pulls) each draw from a monthly allowance included in your subscription plan, as described in Section 9. Once a given allowance is used for the billing period, further calls of that type are paused until the next period or an upgrade.

Basis is not a consumer reporting agency, and no data provided through the Service constitutes a “consumer report” under the Fair Credit Reporting Act (FCRA). You may not use any information obtained through the Service - including owner-contact, skip-trace, ownership, or distress data - to determine any person's eligibility for credit, insurance, employment, housing or tenancy, or for any other purpose covered by the FCRA.

5. Your Content

You retain all ownership rights in the deal data, notes, contacts, files, and other content you upload or create in the Service (“Your Content”). You grant VisionCore a limited, worldwide, royalty-free license to host, copy, store, and process Your Content solely to operate and provide the Service to you. We will not use Your Content for any other purpose, and we do not use it to train AI models.

Operating the Service includes transmitting the relevant parts of Your Content to the sub-processors listed in our Privacy Policy. In particular, AI features (analyst memos, deal import, rehab estimates, and email deal capture) send the content you submit - including uploaded documents, forwarded email, and property photos - to our AI provider to generate the result. Do not submit content you are not permitted to disclose to a third-party processor.

6. Team & Workspace Features

If you invite team members to your workspace, you represent that you have authority to do so and that each invitee agrees to these Terms. You are responsible for the actions of any team member within your workspace. You may revoke a team member's access at any time from Settings → Team.

7. Shared Deal Links

The Service allows you to generate investor-facing links that expose selected deal data to third parties. You are responsible for ensuring that the recipients of such links are authorized to receive the information and that sharing it complies with any applicable confidentiality obligations.

8. Beta & Early Access

The Service is currently in a soft-launch / beta phase. Features, pricing, integrations, and the accuracy of automated outputs may change, be removed, or experience downtime without notice, and the Service may contain bugs or errors. We appreciate your patience and feedback during this period.

Basis is a tool that surfaces third-party and AI-generated estimates to help you organize your own research - it is not a substitute for professional judgment. Nothing in the Service constitutes financial, investment, legal, tax, or appraisal advice, and no output (including deal scores, AI analyst memos, AVM values, rent estimates, or comps) should be relied upon as a guarantee of a property's condition, value, profitability, or investment merit. You are solely responsible for independently verifying all figures, obtaining a licensed appraisal or inspection where appropriate, and consulting a qualified professional before making any financial, legal, or investment decision.

9. Fees & Billing

Basis is billed as a monthly subscription (Free, Solo, or Pro) through Stripe, as described and priced in the app at the time of purchase. Each plan includes a monthly allowance for each usage meter (analyzer runs, owner lookups, Deal Finder searches, comp & market pulls) that paid enrichment lookups draw from; allowances reset each billing period and do not roll over. All fees are non-refundable except where required by applicable law. We may adjust pricing or plan allowances with 30 days' advance notice posted in-app or sent by email.

Automatic renewal. Paid plans renew automatically each month, and your payment method is charged the then-current plan price at the start of each billing period, until you cancel. You can cancel online at any time from Settings → Plan & usage → Manage billing (or by emailing us at the address below); cancellation takes effect at the end of the current billing period, and you keep access and any remaining usage allowance until then. No further charges are made after cancellation takes effect.

10. Termination

You may stop using the Service at any time. You can cancel a paid plan online from Settings → Plan & usage → Manage billing (see Section 9), and close your account entirely from Settings → Data & account, which deletes your data and uploaded files and cancels any active subscription. You can export your workspace from the same screen first - once deletion completes we cannot recover your data. You may also ask us to close your account by contacting us at the address below. We may suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated these Terms, that your account poses a security risk, or that continued access would harm the Service or other users. Upon termination we will delete your data in accordance with our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. VisionCore does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any third-party data will be accurate, complete, or current.

12. Limitation of Liability

To the maximum extent permitted by applicable law, VisionCore LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. In no event shall our aggregate liability for any claim exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless VisionCore LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third party's rights or applicable law.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
